These Terms of Service ("Terms") govern your use of Vestkin's payroll software platform operated by Vestkin, LLC ("Vestkin," "we," "us"). By accessing or using our services, you agree to these Terms.

1.Description of Service

Vestkin provides a web-based payroll software platform that enables small business owners to process payroll, manage direct deposit, calculate tax withholdings, and maintain compliance documentation for employees including family members and minor children.

2.Eligibility

You must be at least 18 years old and have authority to enter into contracts on behalf of your business to use Vestkin. By using the service, you represent that you have this authority.

3.Employer Responsibilities

You, as the employer, are solely responsible for:

• Verifying employee eligibility to work in the United States (Form I-9)
• Ensuring the accuracy of all payroll data entered into the platform
• Verifying FICA and FUTA exemption eligibility for family employees
• Filing and paying all required federal and state taxes on time
• Complying with all applicable federal, state, and local employment laws
• Maintaining required payroll records for the legally mandated period

4.FICA Exemption Disclaimer

Vestkin provides FICA exemption calculations based on information you provide. It is your sole responsibility to verify that your business structure and employment relationships qualify for FICA exemptions under IRS rules. Vestkin is not liable for penalties resulting from incorrect exemption claims.

5.Subscription and Payment

• Legacy clients: $80/month base fee + $12 per employee per month
• Standard clients: $99/month base fee + $15 per employee per month
• Fees are billed monthly via the payment method on file
• Subscriptions auto-renew unless cancelled
• No refunds for partial months
• We reserve the right to update pricing with 30 days written notice

6.Cancellation

You may cancel your subscription at any time from your account settings or by emailing info@vestkin.com. Cancellation takes effect at the end of the current billing period. You remain responsible for all payroll obligations through the cancellation date.

7.Limitation of Liability

Vestkin is a software platform, not a licensed tax advisor, CPA, or attorney. We are not liable for:

• Tax penalties resulting from incorrect data you provide
• Payroll errors resulting from inaccurate employee information
• Losses resulting from platform downtime or data errors

Our total liability to you shall not exceed the fees paid in the 3 months prior to the claim.

8.Indemnification

You agree to indemnify and hold harmless Vestkin, LLC and its officers from any claims arising from your use of the platform, your payroll practices, or your violation of applicable law.

9.Data Security

We implement industry-standard security measures including encryption at rest and in transit. However, no system is completely secure. You are responsible for maintaining the confidentiality of your login credentials.

10.Termination

We reserve the right to suspend or terminate your account for violation of these Terms, non-payment, or fraudulent activity, with or without notice.

11.Governing Law

These Terms are governed by the laws of the State of New Hampshire, without regard to conflict of law principles.

12.Changes to Terms

We may update these Terms with 30 days notice. Continued use of the service after notice constitutes acceptance.
